Terms & Conditions (B2B)

§ 1 Scope

These Terms apply to contracts with businesses and nonprofit organizations.

§ 2 Services

impactBee provides a platform for guests, visitors, customers, or employees to vote on donation budgets. Donations are handled exclusively via Treuhandstiftung Bcause One ("Buzz for good!").

§ 3 Fees

Monthly subscription or one-time fees, plus statutory VAT.

§ 4 Campaign Activation

Campaign activation is subject to full prepayment of the declared Impact Budget. Until such prepayment is received and confirmed, the widget remains in Pending status and no votes will be counted. If a business promotes or publishes the widget while still Pending, impactBee is not liable for reputational, financial, or operational damages. Responsibility for timely prepayment and activation lies solely with the business. If payment is not received within 14 days of request, impactBee may cancel the campaign.

§ 5 Obligations

The partner must provide accurate information and not distribute unlawful content.

§ 6 Liability

  1. impactBee is fully liable for intent, gross negligence, and for damages to life, body, or health.
  2. For simple negligence, impactBee is only liable for breaches of essential contractual obligations (cardinal duties), limited to foreseeable damages typical for this type of contract.
  3. Liability for acts of third parties (e.g. nonprofits, Treuhandstiftung, payment providers) is excluded to the extent permitted by law.

§ 7 Term and Termination

Contracts may be terminated by either party with 30 days' notice to the end of the month.

§ 8 Changes

  1. impactBee may amend these Terms where required due to changes in law, case law, technical developments, or material changes in economic conditions.
  2. Amendments that affect material contractual terms (e.g. prices, scope of service) require express consent by the partner.
  3. Other amendments will be communicated in text form.
  4. If the partner does not object within 30 days of receipt, such non-material changes shall be deemed accepted.
  5. The partner will be expressly informed of the right to object. In case of objection, impactBee has the right to terminate the contract.

§ 9 Final Provisions

German law applies. Place of jurisdiction is Berlin, where legally permissible.

Use is free of charge.

§ 3 Donations

Donations are provided exclusively by participating businesses and processed via Treuhandstiftung Bcause One ("Buzz for good!"). impactBee is not a donation recipient.

§ 4 Conduct

Users must not misuse the service or distribute unlawful content.

§ 5 Liability

The liability provisions of the B2B Terms apply accordingly.

§ 6 Changes

impactBee may amend these Terms where required due to changes in law, case law, technology, or material economic circumstances. Amendments affecting material terms require express consent from the user. Other amendments will be communicated appropriately. Continued use after notification of non-material changes constitutes acceptance.

§ 7 DSA

  1. impactBee qualifies as a hosting service under Regulation (EU) 2022/2065 (DSA).
  2. Users may report allegedly illegal content via an online form or email. impactBee reviews such notices without undue delay and takes necessary action.
  3. Upon becoming aware of serious criminal offenses, impactBee will promptly inform the competent authorities.
  4. impactBee publishes an annual transparency report on received notices and measures taken.

Donation Notice

Donations are processed exclusively via Treuhandstiftung Bcause One ("Buzz for good!"), which is officially recognized as charitable and issues donation receipts. impactBee itself is not a donation recipient, but solely a technical service provider.
